When the auction begins to close it will close at the rate of 2 lots per minute with 45 second extended bidding. That means if a bid is placed on an item within the last minute then the bidding on that item will remain open for an additional 45 seconds. At the conclusion of the auction you will receive an emailed invoice. You can make payment online from the link in your invoice or when you come to pick up your items.

TERMS AND CONDITIONS FOR ONLINE EQUIPMENT AUCTION BIDDING

 

This document establishes the complete terms and conditions governing participation in equipment auctions conducted by Southern Auction Solutions (hereinafter "Auction Company"). By registering to bid, participants acknowledge and agree to be bound by these terms.

 

SECTION 1: REGISTRATION AND PAYMENT

 

Southern Auction Solutions requires full payment within twenty-four (24) hours of purchase unless alternative arrangements have been explicitly agreed upon in writing. The Auction Company reserves the right to charge the credit card provided during registration for the full amount of purchases, including all applicable fees.

 

SECTION 2: CONDITION OF MERCHANDISE AND WARRANTY DISCLAIMER

 

All items are sold "AS IS, WHERE IS" without any warranty or guarantee whatsoever. While the Auction Company endeavors to provide accurate descriptions in advertising materials, neither these descriptions nor any oral statements made by the Auction Company or its representatives shall constitute a warranty, whether expressed or implied. The Auction Company discloses all known conditions of items; however, the responsibility for inspection rests solely with the potential buyer prior to bidding. All sales are final, and no returns will be accepted.

 

SECTION 3: FEES AND CHARGES

 

The following fees shall apply to all purchases:

A. Buyer's Premium: Ten percent (10%) of the hammer price

B. State Sales Tax: Applied to the total purchase amount including buyer's premium

C. Credit Card Processing Fee: Three percent (3%) of the total transaction

 

All purchases must be paid in full by 5:00 PM Central Standard Time on the day following the auction, unless prior arrangements have been made. The credit card provided during registration will be automatically charged for all fees unless alternative payment arrangements are confirmed in advance.

 

SECTION 4: PAYMENT INTEGRITY

 

Bidders utilizing checks or credit cards for payment hereby guarantee sufficient funds are available. Any payment dishonored by the issuing institution will result in Bidder being responsible for the following cost and fees and penalties:

A. All collection costs, including attorney and filing fees

B. Service fees imposed by the Auction Company

C. Possible criminal prosecution for payment fraud

 

SECTION 5: ACCOUNT SECURITY AND RESPONSIBILITY

 

Each bidder assumes full responsibility for all purchases made under their assigned bidder number or account. Sharing of login credentials is strictly prohibited. The registered bidder shall be liable for all charges incurred under their account regardless of actual user.

 

SECTION 6: LIABILITY AND RECORDING NOTICE

 

Bidders assume complete responsibility for any personal injury or property damage caused by themselves or their agents while on auction premises. The Auction Company maintains the right to create video and audio recordings of auction proceedings without additional notification to participants.

 

SECTION 7: AGENCY RELATIONSHIP AND BIDDING RIGHTS

 

The Auction Company functions solely as an agent for the Seller and assumes no liability for representations made by the Seller. As a public auction, all qualified bidders, including Southern Auction Solutions, maintain the right to participate. The Auction Company reserves the right to:

A. Accept or reject any bid

B. Remove items from auction

C. Bid on behalf of the Seller up to the reserve price, whether published or unpublished

 

SECTION 8: ONLINE AUCTION CLOSING PROCESS

 

The auction utilizes a "Soft Close" ending process. When a bid is received within the final minute of an item's scheduled closing, the timer automatically extends. Extensions continue until bidding ceases. Items may be "linked," meaning related items remain open when active bidding extends the time on associated merchandise.

 

SECTION 9: INSPECTION REQUIREMENTS AND DISCLAIMERS

 

The Auction Company provides inspection opportunities prior to bidding. Failure to conduct inspection shall not constitute grounds for dispute or refund. Neither the Auctioneer nor Seller claim expert knowledge of merchandise. While descriptions are provided in good faith, they are not guaranteed. Buyers proceeding without inspection acknowledge they do so at their own risk and discretion.

 

SECTION 10: DOCUMENTATION AND TITLE TRANSFER

The following documentation requirements apply:

10.1 Bill of Sale - The Auction Company shall provide a Bill of Sale within ten (10) business days of payment for applicable items. This document serves as proof of purchase and transfer of ownership.

10.2 Title Transfer - The Seller shall provide title within a reasonable time frame following the sale. In the event title issues arise, the Seller maintains a reasonable period to correct such issues. If title issues cannot be resolved, the Buyer shall receive a full refund of the purchase price.

10.3 Tax Exemption for Dealers - Dealers claiming tax exemption status must provide valid documentation prior to purchase to avoid tax charges. The Auction Company maintains the right to verify all tax exemption documentation. Failure to provide valid documentation will result in the assessment of applicable taxes.

10.4 Consumer Tax, Vehicle Registration, and Jurisdictional Requirements - For any registered items, sales tax will be collected at the time of registration by the appropriate government office in the Buyer's jurisdiction. The Auction Company expressly states that it is not a Used Motor Vehicle Dealer and functions solely as an intermediary negotiating the sale between the Buyer and Seller. Prior to placing any bids, the Buyer assumes complete responsibility for verifying that the item is legal within their jurisdiction and that the ownership documentation provided by the Seller and Auction Company satisfies their jurisdiction's registration requirements. The responsibility for proper registration and payment of applicable taxes rests solely with the Buyer.

 

SECTION 11: REMOVAL AND STORAGE REQUIREMENTS

 

A. Removal Timeline: All items must be removed within seven (7) days of auction close by 5:00 PM CST

B. Appointments: Required for all load-out procedures

C. Storage Fees: $25.00 per day assessed after seven-day period

D. Abandonment: Items not removed within specified timeline become Auction Company property

E. Location Notice: Certain items may be located off-site as specified in item description

 

SECTION 12: SHIPPING AND TRANSPORTATION

 

The Buyer assumes complete responsibility for all shipping arrangements and associated costs. In the event of failed delivery, refunds shall be limited to the purchase price regardless of item value. All shipments must be directed to the billing address associated with the payment credit card.

 

SECTION 13: LOAD-OUT PROCEDURES AND LIABILITY

 

While the Auction Company may provide loading assistance, it assumes no liability for any damage occurring during the loading process. This includes but is not limited to damage to:

A. The purchased item

B. Buyer's person or property

C. Vehicles, trailers, or other transportation equipment

 

Loading assistance availability extends seven days following auction close, by appointment only. After this period, storage and load-out fees apply. For items marked as "NOT ON SITE," Buyers assume complete responsibility for loading and transportation of the auction item from its location.

 

SECTION 14: DISPUTE RESOLUTION AND SECURITY INTERESTS

 

The Auctioneer maintains sole authority in determining winning bids, and such determinations shall be final. The Auction Company retains a security interest in all purchased items until payment has been fully processed and cleared.  In the event of any chargebacks or insufficient payments or any dispute arising involving Buyer and the subject of this agreement Buyer shall be subject to any and all remedy available at law or otherwise and shall be responsible for all collection cost including reasonable attorney fees in the event Buyer is deemed to be at fault.   

 

In cases of missing merchandise the following shall apply:

A. Single items: Full refund of purchase price plus Buyer's Premium to winning Bidder

B. Lot items: Proportional refund as determined by Auctioneer to the winning Bidder

 

Buyer hereby agrees to indemnify, defend, and hold harmless the Auction Company and its agents, employees, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to any dispute or litigation concerning the subject matter of this agreement in the event Buyer is found to be at fault.  

 

SECTION 15: INTELLECTUAL PROPERTY AND IMAGE RIGHTS

 

The Auction Company reserves the right to capture and utilize digital content including audio recordings, photographs, videos, and testimonials from auction events. By participating in the auction, attendees grant the Auction Company perpetual, worldwide permission to use their image, likeness, voice, or statements for promotional purposes without compensation. While the Auction Company will consider requests to remove specific content, no guarantees apply to video or livestream content removal.

 

SECTION 16: LEGAL JURISDICTION AND ENFORCEMENT and ARBITRATION

 

These terms and conditions shall be governed by and construed in accordance with the laws of the State of Alabama. All participants agree to:

A. Submit to the jurisdiction of courts located in Randolph County, Alabama

B. Accept service of process via certified mail at their registration address

C. Resolve disputes involving a hammer price in excess of $10,000.00 through binding ARBITRATION with the American Arbitration Association;  Disputes involving a hammer price not in excess of $10,000 shall be litigated in the District Court of Randolph County, Alabama

D. Pay all attorney fees, court costs, and collection expenses incurred by the Auction Company in enforcing these terms in the event Buyer is at fault

 

By participating in this auction, whether in person or online, all bidders acknowledge they have read, understood, and agree to be bound by these terms and conditions in their entirety.

 

This Contract contains the entire understanding of the parties with respect to the subject matter contained therein and it supersedes all prior understandings and agreements, whether written or oral, and all prior dealings of the parties with respect to the subject matter hereof.  

 

No consent or waiver, expressed or implied, to or of any breach of default shall constitute a consent or waiver to or of any other breach or potential breach of this contract.

 

If any provision of this Contract or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, the remainder of this Contract and the application of such provision to other persons or circumstances shall not be affected thereby and shall be enforced to the greatest extent permitted by law.

 

The Auction Company reserves the right to modify these terms at any time. Any such modifications shall be effective immediately upon posting to the auction website.
